Terms of Service (Terms & Conditions of Sale)

2.1 Agreement

These Terms of Service (“Terms”) govern your access to and use of the OPLITE USA Inc. website (the “Site”) and your purchase of products from us. By accessing the Site or placing an order, you agree to these Terms. If you do not agree, do not use the Site.

2.2 Eligibility

You must be at least 18 years old (or the age of majority in your state or province) and able to form a binding contract to purchase from us.

2.3 Products, descriptions and pricing

We make reasonable efforts to display our products and prices accurately. Product images are for illustration; actual products may vary. All prices are listed in U.S. dollars (USD) and are exclusive of applicable taxes, which are calculated and added at checkout where required. We may correct errors, change prices, and modify or discontinue products at any time without notice. In the event of a pricing or description error, we reserve the right to cancel any affected order, even after it has been confirmed.

2.4 Orders and acceptance

Your order is an offer to purchase. All orders are subject to acceptance by us; a confirmation email acknowledges receipt but does not constitute acceptance. We may refuse or cancel any order, including for suspected fraud, unauthorized activity, product unavailability, or errors. If we cancel an order after payment, we will issue a refund.

2.5 Payment

Payments are processed through our third-party payment provider(s) (e.g., Shopify Payments and associated card networks). By submitting payment information, you represent that you are authorized to use the payment method. We do not store full payment card details on our own systems.

2.6 Shipping, returns and warranty

Shipping is governed by our Shipping Policy (Section 5), returns by our Return & Refund Policy (Section 4), and product warranty by our Limited Warranty (Section 6), each incorporated into these Terms.

2.7 Intellectual property

The Site and its content (text, graphics, logos, images, and the OPLITE name and marks) are owned by OPLITE USA Inc. or its affiliate OPLITE Corp SAS and are protected by intellectual property laws. The OPLITE trademark in the United States is owned by OPLITE USA Inc. You may not use, reproduce, or distribute any content without our prior written permission.

2.8 Acceptable use

You agree not to misuse the Site, including by attempting to gain unauthorized access, interfering with its operation, scraping data, or using it for unlawful purposes.

2.9 Disclaimers

To the fullest extent permitted by law, the Site and products are provided “as is” and “as available,” except for the express Limited Warranty in Section 6 and any rights that cannot be excluded under applicable law. We disclaim all other warranties, express or implied, including implied warranties of merchantability and fitness for a particular purpose.

2.10 Limitation of liability

To the fullest extent permitted by law, OPLITE USA Inc. and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits or data, arising from your use of the Site or products. Our total liability for any claim will not exceed the amount you paid for the product giving rise to the claim. Some states and provinces do not allow certain limitations, so some of the above may not apply to you.

2.11 Indemnification

You agree to indemnify and hold harmless OPLITE USA Inc. and its affiliates from claims arising out of your breach of these Terms or misuse of the Site or products.

2.12 Governing law, binding arbitration and class-action waiver

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws rules.

Informal resolution first. Before starting an arbitration, you agree to contact us at contact@oplite-usa.com and give us 30 days to resolve the dispute informally.

Binding arbitration. Any dispute, claim or controversy arising out of or relating to these Terms, the Site, or your purchase (a “Dispute”) that is not resolved informally will be resolved by final and binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, rather than in court — except that either party may bring an individual claim in small-claims court. The arbitration will be conducted in English, on an individual basis, and may be held by telephone, video, written submissions, or in person in Wilmington, Delaware, at your election. Judgment on the award may be entered in any court of competent jurisdiction.

Class-action waiver. You and OPLITE USA Inc. agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate more than one person’s claims or preside over any class or representative proceeding.

30-day opt-out. You may opt out of this arbitration agreement within 30 days of first accepting these Terms by emailing contact@oplite-usa.com with your name and order details. Opting out will not affect any other provision of these Terms.

Exceptions. Nothing here prevents either party from seeking injunctive or equitable relief for actual or threatened infringement of intellectual property rights, and nothing limits rights that cannot be waived under applicable law.

Quebec and Canadian consumers. If you reside in Quebec or another jurisdiction where pre-dispute arbitration agreements or class-action waivers are not enforceable in consumer contracts, this Section 2.12 does not apply to you to the extent prohibited by law, and you retain your right to bring or join a class action and to pursue your dispute before the competent courts.

2.13 Quebec residents (language)

For consumers residing in Quebec, a French-language version of these Terms is available on request and is provided before any English version becomes binding, in accordance with the Charter of the French Language. [Add the FR version link once produced.]

2.14 Changes to these Terms

We may update these Terms at any time. Changes are effective when posted with an updated “Last updated” date. Your continued use of the Site constitutes acceptance.
