2.1 Agreement

These Terms of Service (“Terms”) govern your access to and use of the OPLITE USA Inc. website (the “Site”) and your purchase of products from us. By accessing the Site or placing an order, you agree to these Terms. If you do not agree, do not use the Site.

Quebec consumers: some provisions of these Terms do not apply to consumers residing in Quebec. Each of them is immediately preceded by a notice in bold capital letters reading “NOT APPLICABLE TO QUEBEC CONSUMERS”. Nothing in these Terms limits the rights you have under the Quebec Consumer Protection Act or other mandatory law.

2.2 Eligibility

You must be at least 18 years old (or the age of majority in your state or province) and able to form a binding contract to purchase from us.

2.3 Products, descriptions and pricing

We make reasonable efforts to display our products and prices accurately. Product images are for illustration; actual products may vary. All prices are listed in U.S. dollars (USD) and are exclusive of applicable taxes, which are calculated and added at checkout where required. We may correct errors, change prices, and modify or discontinue products at any time without notice; a change does not affect an order you have already placed.

In the event of a pricing or description error, we reserve the right to cancel any affected order, even after it has been confirmed.

2.4 Orders and acceptance

Your order is an offer to purchase. All orders are subject to acceptance by us; a confirmation email acknowledges receipt but does not constitute acceptance. We may refuse or cancel any order, including for suspected fraud, unauthorized activity, product unavailability, or errors. If we cancel an order after payment, we will issue a refund.

Quebec consumers. Where our proposal on the Site contains all the essential elements of the contract, it constitutes our offer, and the contract is formed when you place your order. Once the contract is formed, we will not cancel it solely because of a pricing error or product unavailability, except as permitted by applicable law. Before placing your order, you can review and correct your order details and all charges.

2.5 Payment

Payments are processed through our third-party payment provider(s) (e.g., Shopify Payments and associated card networks). By submitting payment information, you represent that you are authorized to use the payment method. We do not store full payment card details on our own systems.

2.6 Shipping, returns and warranty

Shipping is governed by our Shipping Policy (Section 5), returns by our Return & Refund Policy (Section 4), and product warranty by our Limited Warranty (Section 6), each incorporated into these Terms.

2.7 Intellectual property

The Site and its content (text, graphics, logos, images, and the OPLITE name and marks) are owned by OPLITE USA Inc. or its affiliate OPLITE Corp SAS and are protected by intellectual property laws. The OPLITE trademark in the United States is owned by OPLITE USA Inc. You may not use, reproduce, or distribute any content without our prior written permission.

2.8 Acceptable use

You agree not to misuse the Site, including by attempting to gain unauthorized access, interfering with its operation, scraping data, or using it for unlawful purposes.

2.9 Disclaimers and implied warranties

To the fullest extent permitted by law, the Site is provided “as is” and “as available.”

NOT APPLICABLE TO QUEBEC CONSUMERS: the following sentence does not apply to consumers residing in Quebec.

Except for the express Limited Warranty, and to the fullest extent permitted by law, any implied warranties, including implied warranties of merchantability and fitness for a particular purpose, are limited in duration to the twelve (12) month period of the Limited Warranty. Some States do not allow limitations on how long an implied warranty lasts, so the above limitation may not apply to you.

Quebec consumers benefit from the legal warranties provided by law, including that goods be fit for their normal use and remain so for a reasonable length of time. Our 12-month Limited Warranty is in addition to those rights and does not restrict their duration or exercise.

2.10 Limitation of liability

NOT APPLICABLE TO QUEBEC CONSUMERS: the following paragraph does not apply to consumers residing in Quebec.

To the fullest extent permitted by law, OPLITE USA Inc. and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits or data, arising from your use of the Site or products. Our total liability for any claim will not exceed the amount you paid for the product giving rise to the claim. Some states and provinces do not allow certain limitations, so some of the above may not apply to you.

Nothing in these Terms excludes or limits any liability or remedy that cannot lawfully be excluded or limited.

2.11 Indemnification

You agree to indemnify and hold harmless OPLITE USA Inc. and its affiliates from claims arising out of your breach of these Terms or misuse of the Site or products, to the extent permitted by applicable law.

2.12 Governing law and disputes

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws rules. If you reside in another U.S. state or in Canada, this choice of law does not deprive you of the protection of the mandatory consumer protection laws of your state or province, and contracts with consumers residing in Quebec are governed by the laws applicable in Quebec.

Contact us first. If you have a concern about an order or a product, please contact us at contact@oplite-usa.com; most issues can be resolved quickly this way. This does not limit your right to go to court.

Courts. Any dispute arising out of or relating to these Terms, the Site or your purchase may be brought before the competent courts, including small-claims court where available. Nothing in these Terms limits rights that cannot be waived under applicable law.

2.13 Quebec residents (language)

A French-language version of these Terms and of all our policies is published at oplite-usa.com/fr and is provided to consumers residing in Quebec before any English version becomes binding, in accordance with the Charter of the French Language. If the French and English versions differ, a consumer residing in Quebec may rely on either version, according to his or her interests.

2.14 Changes to these Terms

We may update these Terms at any time. Changes are effective when posted with an updated “Last updated” date and apply to orders placed after that date; the version in effect when you placed an order continues to govern that order.
